1. Introduction

By accessing our Site or using our Services, you (the "Client", "you") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or our Services.

2. Description of Services

CIRTA AGENCY LTD provides a range of professional IT services, including but not limited to:

• Strategic and digital transformation consultancy.
• Custom software, web and mobile application development.
• ERP and CRM systems integration.
• Maintenance and technical support.
• Hosting and server management services.
• Digital marketing and Search Engine Optimisation (SEO).

The exact scope of services provided to a client will be detailed in a specific quotation or service agreement (the "Service Agreement").

3. Quotations, Orders, and Payment

• Quotations: All quotations are valid for a period of 30 days from their date of issue, unless otherwise stated.
• Payment Terms: Payment terms (amounts, schedules, currencies) will be specified in the Service Agreement. Unless otherwise agreed, invoices are payable within 30 days of receipt.
• Late Payment: Any late payment may result in the charging of late payment interest at the statutory rate in force in the United Kingdom, as well as the immediate suspension of Services until the payment is settled.

4. Client Obligations

To enable us to provide our Services effectively, you agree to:

• Provide all necessary information, documents, and access in a timely manner.
• Appoint a main point of contact to facilitate communication.
• Cooperate fully with our teams and adhere to agreed schedules.
• Ensure that any material you provide to us (text, images, logos) does not infringe upon any third-party intellectual property rights.

5. Intellectual Property

• Agency Property: All software, code, methodologies, and know-how developed or used by CIRTA AGENCY LTD prior to or independently of a Service Agreement shall remain our exclusive property.
• Client Property: Unless otherwise stipulated in the Service Agreement and subject to full payment of all invoices, the client will become the owner of the final deliverables specifically developed for them. We reserve the right to use the general skills and knowledge acquired during the course of the project.

6. Confidentiality

Each party undertakes to treat as confidential all technical, commercial, or financial information received from the other party in the course of performing the Services. This obligation of confidentiality shall survive the termination of the contract.

7. Limitation of Liability

The Agency undertakes to provide its Services with reasonable care and skill.

• Our total liability for any claim arising from the performance of a Service Agreement shall in no event exceed the total amount paid by the client for the relevant Services during the six (6) months preceding the claim.
• We shall under no circumstances be liable for any indirect or consequential losses, such as loss of profits, loss of data, or business interruption.

8. Warranty

We warrant that our deliverables will perform substantially in accordance with the specifications agreed in the Service Agreement for a period of 90 days after delivery. This warranty does not cover defects resulting from modifications made by the client or a third party, or from improper use.

9. Termination

• Termination for Convenience: Either party may terminate a Service Agreement by providing 30 days' written notice. In such a case, the client agrees to pay for all services rendered up to the date of termination.
• Termination for Breach: A party may terminate the contract with immediate effect in the event of a material breach by the other party of its obligations, if such breach is not remedied within 15 days of written notification.

10. Amendments to the Terms

We reserve the right to amend these Terms at any time. The amendments will take effect upon their publication on our Site. It is your responsibility to review this page regularly.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising therefrom are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
